## 1. About IAIIAI

This website is operated by IAIIAI Ltd, a company incorporated in the Republic of Cyprus under registration number HE493605, with its registered office at Anagenniseos 18, Office 108,6050 Larnaca,Cyprus (“IAIIAI”, “we”, “us” or “our”). Contact email: iq@iaiiai.com 

## 2. Scope of these Terms

These Terms of Use govern access to and use of the IAIIAI website, including its content, contact forms and other publicly available website functionality (the “Website”).

By accessing or using the Website, you agree to these Terms. If you do not agree, you must not use the Website.

These Terms govern the Website only. The development, licensing, supply, hosting, operation or support of software, artificial-intelligence systems, models, infrastructure or other professional services is governed by the applicable proposal, order form, statement of work, master services agreement or other written agreement entered into with IAIIAI.

Where a separate written agreement conflicts with these Terms, the separate written agreement prevails in relation to the services covered by it.

## 3. Nature of IAIIAI’s Business

IAIIAI develops and operates artificial-intelligence applications, software systems, models and related infrastructure. Its services may include:

* bespoke software and AI development;
* integration and implementation services;
* deployment and operation of locally hosted or private AI models;
* model inference and related infrastructure;
* data-centre, hosting and technical support services;
* technology consulting and AI-governance support; and
* solutions designed for fintech and other business sectors.

Unless expressly stated in a separate written agreement, the Website itself does not constitute a payment service, financial service, regulated advisory service, merchant marketplace or dispute-resolution service.

## 4. Eligibility and Authority

You may use the Website only if you are legally capable of entering into binding obligations.

Where you access or use the Website on behalf of a company or another organisation, you represent that you have authority to act on its behalf.

The Website is intended primarily for business and professional users. It is not directed at children.

## 5. Permitted Use

You may use the Website for lawful purposes, including:

* obtaining information about IAIIAI;
* contacting IAIIAI about potential services;
* requesting business information or a proposal;
* submitting a legitimate employment application; and
* accessing materials that IAIIAI has made publicly available.

10. use the Website in a manner that could damage IAIIAI’s systems, reputation or legitimate business interests.

## 7. Intellectual Property

The Website and its content—including text, graphics, logos, designs, software, documentation, demonstrations, model descriptions and other materials—are owned by or licensed to IAIIAI and are protected by intellectual-property laws.

IAIIAI grants you a limited, non-exclusive, non-transferable and revocable right to access and use the Website for legitimate informational and business purposes.

No intellectual-property rights are transferred to you. You may not reproduce, modify, distribute, publicly display, commercially exploit, reverse engineer or create derivative works from Website content without IAIIAI’s prior written consent, except to the extent expressly permitted by mandatory law.

“IAIIAI” and associated names, marks and logos are trademarks or trade names of IAIIAI or its licensors. No right to use them is granted by these Terms.

## 8. Information Submitted to IAIIAI

Information submitted through the Website will be processed in accordance with the Privacy and Cookie Notice.

You retain ownership of materials you submit. You grant IAIIAI the limited rights reasonably necessary to review the material, respond to your request and evaluate or provide the requested services.

Unless a confidentiality agreement or other written agreement applies, general enquiries submitted through the Website will not automatically be treated as confidential. You should not submit source code, credentials, trade secrets, regulated data or other highly confidential information through a general contact form.

## 9. AI and Technical Information

Descriptions of artificial-intelligence systems, model capabilities, performance, security, compatibility or potential use cases are provided for general information.

AI systems may produce probabilistic, incomplete, outdated, biased or inaccurate results. Outputs may require verification and human review. Website information and demonstrations must not be relied upon as legal, financial, medical, regulatory or other professional advice.

Specific performance levels, accuracy metrics, service levels, compliance commitments and warranties apply only where expressly stated in a signed agreement.

Nothing on the Website constitutes a representation that a particular AI system is suitable for a high-risk, safety-critical, regulated or consequential use.

## 10. Third-Party Technology and Links

The Website may refer or link to third-party websites, models, open-source components, platforms or services.

IAIIAI does not control third-party services and is not responsible for their availability, content, security, licensing terms or privacy practices. References to third parties do not constitute endorsement unless expressly stated.

Your use of third-party services may be governed by separate terms.

## 11. Privacy and Cookies

IAIIAI processes personal data in accordance with its Privacy and Cookie Notice.

Non-essential analytics, advertising or similar cookies will be used only in accordance with applicable law and the choices made through the Website’s cookie-management facility.

## 12. Website Availability and Security

IAIIAI may modify, suspend, restrict or discontinue all or part of the Website where reasonably necessary, including for maintenance, security, legal or operational reasons.

IAIIAI uses reasonable measures to protect the Website but does not warrant that it will always be available, uninterrupted, error-free or free from harmful components.

You are responsible for maintaining appropriate security controls on your own devices, networks and accounts.

## 13. Disclaimers

To the maximum extent permitted by applicable law, the Website and its publicly available content are provided on an “as available” and “as is” basis.

IAIIAI excludes implied warranties relating to the Website, including warranties of merchantability, fitness for a particular purpose, non-infringement and accuracy, except where such warranties cannot lawfully be excluded.

No Website content creates a binding offer, warranty, service level, regulatory assurance or commitment unless expressly incorporated into a signed agreement.

## 14. Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, wilful misconduct, or death or personal injury caused by negligence where applicable.

Subject to the preceding paragraph, IAIIAI will not be liable for:

* indirect or consequential loss;
* loss of profit, revenue, business, anticipated savings, goodwill or opportunity;
* loss or corruption of data;
* business interruption;
* reliance on general Website information;
* third-party websites or services; or
* unauthorised or unlawful use of the Website.

Where you use the Website for business purposes, IAIIAI’s aggregate liability arising from or relating to the Website will not exceed EUR 1,000.

This limitation does not govern paid services supplied under a separate agreement. Liability for those services will be governed by the applicable agreement.

Nothing in these Terms affects mandatory rights available to a consumer under applicable law.

## 15. Indemnity for Business Users

Where you use the Website in the course of business, you will indemnify IAIIAI against third-party claims, losses and reasonable costs arising directly from:

* your unlawful use of the Website;
* material submitted by you that infringes third-party rights;
* your unauthorised security testing or interference with the Website; or
* a material breach of these Terms.

This section does not apply to the extent that a claim was caused by IAIIAI.

## 16. Suspension and Enforcement

IAIIAI may restrict or block access where it reasonably believes that a user:

* has breached these Terms;
* presents a security or legal risk;
* is using the Website fraudulently or abusively; or
* is interfering with the Website or other users.

IAIIAI may report suspected unlawful conduct to the competent authorities where legally permitted or required.

## 17. Changes to these Terms

IAIIAI may amend these Terms to reflect changes to the Website, its business, applicable law, security requirements or operational practices.

The current version and effective date will be published on the Website. Material changes will be communicated through an appropriate Website notice.

Changes will not retroactively alter a separately signed customer agreement.

## 18. Governing Law and Jurisdiction

These Terms and any non-contractual obligations arising from them are governed by the laws of the Republic of Cyprus.

Where you use the Website in the course of business, the courts of the Republic of Cyprus will have exclusive jurisdiction.

Where you are a consumer, this provision does not deprive you of mandatory protections or jurisdictional rights available under the law of your habitual residence.

## 19. General Provisions

If any provision is invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in effect.

A failure to enforce a provision is not a waiver of that provision.

You may not assign your rights under these Terms without IAIIAI’s prior written consent. IAIIAI may assign its rights and obligations as part of a corporate reorganisation, merger, financing or transfer of the relevant business, subject to applicable law.

These Terms do not create a partnership, agency, fiduciary relationship or employment relationship.
